Please read these Terms carefully before using Percision. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the platform.

1. Parties & Definitions

"Percision", "we", "us", or "our" refers to Percision (operating as percision.app), and its owners, officers, directors, employees, agents, affiliates, successors, and assigns.

"Platform" means the Percision website (percision.app), web application, API, AI analysis pipelines, AI agent systems, financial intelligence modules, investor tools, and all related software, content, and services.

"User", "you", or "your" means the individual or entity that creates an account, accesses, or uses the Platform.

"Output" means any strategic analysis, report, recommendation, financial model, projection, PDF deck, or other content generated by the Platform in response to your inputs.

"Subscription" means a recurring paid plan as described on the Pricing page.

"Pay-Per-Run" means a one-time, non-recurring payment for a single analysis run.

2. Acceptance of Terms

By (a) creating an account, (b) clicking "Accept" or any equivalent affirmation, (c) accessing any part of the Platform, or (d) submitting payment, you represent that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater);
  • You have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent;
  • You have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including the Privacy Policy and Refund Policy.

If you are using the Platform on behalf of an organization, you warrant that you are authorized to bind that organization and that these Terms apply to such organization. The organization bears joint and several liability for compliance by all its users.

3. Account Registration & Security

3.1 Accurate Information. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. Percision reserves the right to terminate accounts based on false, misleading, or outdated information.

3.2 Credentials. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@percision.app of any unauthorized access or security breach. We are not liable for any loss arising from your failure to maintain credential security.

3.3 One Account Per Person. You may not create multiple accounts to circumvent free-trial limits, usage caps, or any other platform restriction. Violation permits immediate account termination without refund.

3.4 No Account Sharing. Account credentials may not be shared with or transferred to any third party, except as expressly permitted under a multi-seat Enterprise plan.

4. Subscriptions, Payment & Billing

4.1 Fees. Current fees are published on the Pricing page. All prices are in United States Dollars (USD) unless stated otherwise, and are exclusive of applicable taxes. You are responsible for all applicable sales taxes, VAT, GST, HST, withholding taxes, and similar levies.

4.2 Recurring Billing. Monthly Subscriptions renew automatically at the end of each calendar month. Annual Subscriptions renew automatically 12 months from the subscription start date. By subscribing, you authorize Percision (through its payment processor, Stripe, Inc.) to charge your payment method on each renewal date without further authorization.

4.3 Price Changes. We may change Subscription fees at any time. We will provide at least 30 days' advance notice before any price increase takes effect for existing subscribers. Continued use of the Platform after the price change constitutes acceptance.

4.4 Failed Payments. If payment fails, we may (a) retry the charge, (b) suspend your account, or (c) downgrade your account to a free tier, without notice. Outstanding amounts bear interest at 1.5% per month (18% per year) or the maximum rate permitted by law, whichever is lower.

4.5 Pay-Per-Run. Pay-Per-Run transactions are one-time, non-recurring charges. The Platform will begin processing your analysis upon successful payment. Once a run is initiated, no refund is available. See the Refund Policy.

4.6 No Refunds. Except as expressly provided in the Refund Policy, all payments are final and non-refundable. We do not provide credits, prorations, or refunds for unused portions of a Subscription period.

5. Free Trials & Promotional Offers

5.1 Percision may offer free trial access or promotional pricing at its sole discretion. Free trials are limited to one per person and one per organization, strictly enforced. Creating multiple accounts to obtain additional free trials constitutes fraud and grounds for immediate termination.

5.2 Free runs are limited to one (1) per logged-in account, enforced at the backend. The Stage 1 Business Health Diagnostic is separately available without an account and does not count against free-run limits.

5.3 We reserve the right to modify, extend, or cancel any promotional offer at any time and without liability.

6. Intellectual Property

6.1 Percision IP. The Platform, including all software, algorithms, models, pipelines, frameworks, interfaces, designs, trademarks, trade secrets, and all Output generated by the Platform, is and shall remain the exclusive property of Percision and/or its licensors. Nothing in these Terms transfers any ownership interest to you.

6.2 License to Use. Subject to your compliance with these Terms and payment of applicable fees, Percision grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes during the term of your Subscription or the applicable Pay-Per-Run session.

6.3 Output License. You receive a limited license to use Output for your internal business purposes. You may not: (a) resell, redistribute, or sublicense Output to third parties as a primary product; (b) represent Output as having been produced by any human consultant or advisor; (c) use Output to train, fine-tune, or otherwise develop competing AI models; or (d) remove any attribution, watermarks, or metadata embedded in Output.

6.4 Your Content. You retain ownership of any data, content, or materials you submit to the Platform ("Input"). By submitting Input, you grant Percision a worldwide, royalty-free, non-exclusive license to process, store, and use your Input solely for the purpose of providing the Platform services to you. Percision will not sell your Input to third parties or use it to train AI models without your prior written consent.

6.5 Feedback. Any suggestions, ideas, or feedback you provide about the Platform may be used by Percision without restriction, compensation, or obligation to you.

6.6 No Reverse Engineering. You may not decompile, disassemble, reverse engineer, or attempt to discover the source code, algorithms, models, weights, or trade secrets underlying the Platform.

7. AI Output Disclaimer — Not Professional Advice

The Output generated by Percision is for informational and strategic planning purposes only. It does not constitute, and must not be relied upon as, legal, financial, investment, tax, accounting, regulatory, or professional advice of any kind.

7.1 All Output is generated by artificial intelligence systems and reflects probabilistic analysis based on the information you provide. Output may contain errors, omissions, or information that becomes outdated rapidly.

7.2 Percision is not a registered investment advisor, broker-dealer, financial planner, law firm, accounting firm, or professional services provider of any kind. No attorney-client, accountant-client, advisor-client, or fiduciary relationship is established by your use of the Platform.

7.3 You must not make any financial investment, divestiture, merger, acquisition, legal, tax, regulatory, or other material business decision based solely on Platform Output without consulting qualified human professionals in the relevant discipline.

7.4 You bear full and sole responsibility for evaluating, verifying, and applying any Output. Percision expressly disclaims all liability for decisions made in reliance on Output.

7.5 Financial projections, valuations, market estimates, and growth forecasts included in Output are hypothetical and forward-looking. Actual results may differ materially. Past performance of any referenced company, framework, or methodology is not indicative of future results.

8. Acceptable Use Policy

You agree that you will not use the Platform to:

  • Violate any applicable law, regulation, or third-party right;
  • Engage in fraud, misrepresentation, market manipulation, or any deceptive practice;
  • Generate, transmit, or store any content that is illegal, defamatory, harassing, threatening, obscene, or that infringes third-party intellectual property rights;
  • Attempt to gain unauthorized access to any system, network, or account;
  • Conduct automated scraping, crawling, or bulk extraction of data from the Platform;
  • Circumvent, disable, or interfere with security features, authentication systems, or access controls;
  • Upload, transmit, or distribute malware, viruses, or any destructive code;
  • Use the Platform to develop or train competing AI models, services, or products;
  • Violate CASL, CAN-SPAM, GDPR, or any applicable anti-spam or data protection law in connection with AI Agent email functionality;
  • Use AI Agent functionality to send unsolicited commercial communications (spam) or to harass any individual;
  • Reproduce, resell, or white-label the Platform or Output without a written Enterprise agreement with Percision.

Percision reserves the right to investigate suspected violations and to suspend or terminate your account, report violations to law enforcement, and pursue all available legal remedies.

9. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

10. Confidentiality

10.1 Each party agrees to keep the other party's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent, using at least the same degree of care used to protect its own confidential information (and in no event less than reasonable care).

10.2 "Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Your business data, financials, and strategic inputs are your Confidential Information. Percision's source code, algorithms, pricing models, roadmap, and trade secrets are Percision's Confidential Information.

10.3 Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) was rightfully known by the receiving party prior to disclosure; (c) is rightfully obtained from a third party without restriction; or (d) is required to be disclosed by law or court order, provided the disclosing party is given reasonable advance notice.

11. Termination & Suspension

11.1 By You. You may cancel your Subscription at any time through your account settings or by contacting info@percision.app. Cancellation takes effect at the end of the current billing period. You will not receive a refund for any prepaid fees.

11.2 By Percision. Percision may suspend or terminate your account, with or without cause and with or without notice, at any time. Grounds for immediate termination without refund include but are not limited to: breach of these Terms, fraudulent activity, violation of applicable law, chargebacks, non-payment, or conduct that we determine, in our sole discretion, to be harmful to the Platform, other users, or Percision's reputation.

11.3 Effect of Termination. Upon termination: (a) all licenses granted to you cease immediately; (b) you must cease all use of the Platform; (c) Percision may delete your account data in accordance with the Privacy Policy; and (d) all accrued payment obligations survive termination.

11.4 Survival. Sections 6 (Intellectual Property), 7 (AI Output Disclaimer), 10 (Confidentiality), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), 16 (Class Action Waiver), 17 (Governing Law), and 19 (General) survive termination.

12. Disclaimer of Warranties

THE PLATFORM AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERCISION EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES; (C) ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR QUALITY OF ANY OUTPUT; AND (D) ANY WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Some jurisdictions do not allow the exclusion of certain implied warranties, so the above exclusions may not apply to you to the extent prohibited by law.

13. Limitation of Liability

13.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERCISION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF PERCISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERCISION'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO PERCISION IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

13.3 Essential Basis. The parties acknowledge that the limitations of liability in this Section 13 are an essential element of the bargain between the parties, without which Percision would not have entered into these Terms.

Some jurisdictions do not allow limitations on liability for certain types of damages, so some of the above limitations may not apply to you to the extent prohibited by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Percision and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Input or any content you submit; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; (e) decisions you make based on Platform Output; or (f) any breach of any representation or warranty you have made herein. Percision reserves the right to assume exclusive control and defence of any matter subject to indemnification at your expense, and you agree to cooperate fully.

15. Dispute Resolution & Binding Arbitration

15.1 Good Faith Resolution. Before initiating any formal proceeding, you agree to contact Percision at info@percision.app and attempt to resolve the dispute informally for a period of at least 30 days from the date of written notice.

15.2 Binding Arbitration. If the dispute cannot be resolved informally, you agree that any and all claims or disputes arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively by final and binding arbitration administered by a recognized arbitration body in the Province of Ontario, Canada, in accordance with its rules. The arbitration shall be conducted in English in the city of Toronto, Ontario.

15.3 Exceptions. Notwithstanding Section 15.2, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of intellectual property infringement or misappropriation may be brought in a court of competent jurisdiction.

16. Class Action Waiver

YOU AND PERCISION EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PERCISION EACH WAIVE ANY RIGHT TO A JURY TRIAL.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. To the extent court proceedings are permitted under these Terms, the parties consent to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by: (a) posting the revised Terms at percision.app/tos.html with an updated "Last Updated" date; and (b) providing at least 14 days' advance notice by email to subscribers. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to any changes, you must cancel your account before the effective date.

19. General

19.1 Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Percision regarding the Platform and supersede all prior agreements, representations, and understandings.

19.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

19.3 Waiver. Percision's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without Percision's prior written consent. Percision may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, without notice to you.

19.5 Force Majeure. Percision is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, or failures of third-party service providers.

19.6 No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any third party.
